Boost Run Signs $525.6M Five-Year Cohere GPU Cloud Deal
Boost Run (Nasdaq: BRUN) signed a five-year dedicated GPU cloud agreement with Cohere with a total contract value of about $525.6 million, according to the company’s October 6, 2026 Form 8-K and same-day Business Wire release. Initial infrastructure acceptance is expected to begin in early Q2 2027.
The numbers on the wire
- ~$525.6 million committed over the term, subject to delivery and acceptance; a portion is prepaid.
- Each delivered rack has an approximately five-year term from Cohere’s acceptance.
- Hardware on the company release: NVIDIA GB300 NVL72 GPUs, plus network storage and CPU node services.
- Boost Run says the deal lifts company TCV to over $2.6 billion across signed contracts with upfront payments.
- Kill date: if a specified minimum of infrastructure is not accepted by July 15, 2027, Cohere may terminate and reclaim prepaid amounts (parent company guarantees refunds up to unapplied prepayment).
What the filing adds that the press release omits
The Business Wire release describes the counterparty as a “leading sovereign AI company.” The 8-K names Cohere Inc. as the customer under a Service Agreement dated September 30, 2026 between Boost Run LLC and Cohere, with Boost Run Inc. guaranteeing refund obligations. The agreement does not automatically renew; either party may terminate for cause, and Cohere has additional termination rights specified in the exhibit.
What Boost Run is selling
Boost Run calls itself an NVIDIA Preferred Cloud Partner and NVIDIA Exemplar Cloud on Blackwell. The platform pitch is GPU compute, CPU nodes, managed Kubernetes, and shared storage via console and API. Operator-level certifications listed on the release include SOC 2 Type II, HIPAA, ISO 27001, and ISO 27701.
“This agreement marks an important step in efficiently deploying our financing into contracted revenue,” said founder and CEO Andrew Karos in the release.
What to watch
- Whether the minimum acceptance threshold is met before the July 15, 2027 cutoff.
- How much of the $525.6 million is prepaid versus billed over the five-year rack terms.
- GPU count and MW — neither the 8-K nor the release disclose rack count or power.
